Zektiva Terms of Service

1. Acceptance and who may use Zektiva

You may use Zektiva if you are at least 18 years old, or the age of majority where you live. If you are under that age, you may use the Service only through a parent or legal guardian, or through an authorized organization acting for you, where that is legally permitted and where that adult or organization accepts these Terms on your behalf and is responsible for your use.

Zektiva is not intended for children under 13, and we do not knowingly allow children under 13 to create accounts.

If you accept these Terms for a company, label, management team or other organization, you confirm that you are authorized to bind that organization, and “you” includes that organization.

2. Accounts, organizations and invitations

Zektiva is organized around workspaces. A workspace (organization) can include owners, managers, operations users, artists, team members and invited collaborators, each with a role that determines what they can see and do.

You agree to provide truthful account information, to keep it current, and to keep your credentials secure. You are responsible for activity that happens under your account and for the people you invite into your workspace.

Tell us promptly if you believe an account, invitation or workspace has been accessed without authorization.

3. What the Service does — and does not promise

Zektiva provides tools for artist management and execution: artist profiles, releases and catalog, lyrics and creative development, goals, budgets, rights and royalty tracking, metrics, reporting, notifications and AI-assisted features.

Zektiva is software. It does not guarantee any commercial, music, streaming, chart, royalty, revenue, audience or career outcome, and it is not a label, distributor, publisher, PRO, collection society, accountant or law firm.

4. Zektiva ownership and intellectual property

Zektiva and its licensors retain all right, title and interest in the Service and everything that makes it work, including:

• software, source code and object code, APIs, and system architecture;
• databases, database schemas, data models and internal data structures;
• designs, UI and UX, layouts, visual systems, branding and templates;
• workflows, product logic, scoring and intelligence algorithms, prompts and system instructions;
• documentation, reports, dashboards, checklists and proprietary processes;
• the Zektiva name, logos and marks, and non-public product infrastructure.

5. Your license to use Zektiva

Subject to these Terms and any applicable plan, Zektiva grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your own artist management and business purposes. No other rights are granted, expressly or by implication.

6. Prohibited conduct

You agree not to, and not to allow anyone else to:

• copy, clone, mirror or reproduce substantial functionality, structure, workflows or design of the Service in another product;
• reverse engineer, decompile, disassemble, extract source code, or attempt to extract models, prompts, system instructions or non-public logic, except to the narrow extent applicable law expressly makes such a restriction unenforceable;
• circumvent, disable or test security, authentication, permission, tenancy or access controls;
• scrape, crawl, harvest or data-mine the Service, except through documented and authorized integrations;
• use Zektiva, its non-public workflows, confidential beta functionality, outputs, documentation, schemas or your access to build, train, benchmark, validate or materially assist a competing or substitute platform, without Zektiva's written permission;
• resell, sublicense, rent, or share account access outside the authorized users of your workspace;
• upload or transmit malicious code, attempt unauthorized access, harvest credentials, interfere with the Service, or overload infrastructure;
• use the Service unlawfully, or to infringe, misappropriate or violate the rights of others.

7. Beta, pre-release and confidential functionality

Some functionality may be offered as beta, preview or pre-release. Beta features are provided for evaluation and product development, may contain errors, may change, and may be withdrawn at any time.

Where Zektiva gives you access to non-public beta features, private roadmaps, prototypes, unreleased functionality, internal documentation or other materials clearly identified or reasonably understood as confidential, you agree not to publicly disclose, copy, distribute, or screen-record them for competitive use without Zektiva's permission. This obligation applies to non-public materials only; it does not make generally available, public-facing features confidential simply because you used them inside Zektiva.

8. Your content and your data — you keep ownership

You and your organization retain ownership of your content, including music, recordings, masters, compositions, lyrics, artwork, metadata, artist information, business information, rights and royalty data, budgets, uploaded documents, notes and other material you put into Zektiva (“User Content”).

Uploading User Content to Zektiva does not transfer ownership of your music or content to Zektiva, and Zektiva does not claim any interest in your masters, compositions, royalties or artist identity.

You grant Zektiva only the limited license reasonably necessary to operate the Service you request: to host, store, back up, secure, technically reproduce and format, transmit, process and display User Content to you and to the authorized users of your workspace, and to provide the features you invoke. That license ends when the content is deleted, subject to normal backup and legal retention windows.

You are responsible for having the rights necessary to upload and use your User Content in Zektiva.

9. Confidential and private management data

Workspaces are isolated from one another, and roles and permissions determine what each user can see. You agree to respect those boundaries: do not attempt to access, export or share another organization's data, or data restricted from your role, and do not misuse management-only material you are given access to.

10. Feedback and product suggestions

You may voluntarily send Zektiva suggestions, ideas, feature requests or other feedback. Zektiva may use general feedback to improve the Service without restriction, attribution or compensation.

This applies to feedback only. It does not transfer ownership of your music, your uploaded content, your confidential business data, or any separately protected customer intellectual property.

11. AI-assisted features

Some features use AI to summarize, analyze, draft, transcribe or suggest. These features are optional assistance, not a substitute for professional legal, accounting, business, creative or A&R judgment. You are responsible for reviewing outputs and for the decisions you make.

When you invoke an AI feature, relevant authorized context from your workspace may be sent to Zektiva's AI service providers so the requested task can be completed.

Zektiva does not promise that AI outputs will be accurate, complete, original, legally compliant, correctly registered with any rights body, or commercially successful.

12. Third-party services and integrations

Zektiva can connect to or reference third-party services such as streaming and social platforms, distributors, PROs and other rights organizations, and payment providers. Those services are governed by their own terms and privacy policies. Zektiva does not control them and is not responsible for their availability, accuracy, actions or decisions.

13. Plans, fees, credits and beta access

Paid plans, add-ons and Intelligence Credit purchases are governed by the pricing, plan details, billing interval, credit allowances and any refund or cancellation rules shown in the app at the time of purchase.

Beta or access-code arrangements may provide time-limited access on the terms shown when the code is redeemed. Credits and allowances are for use inside Zektiva and have no cash value.

14. Suspension and termination

Zektiva may suspend or terminate access if you breach these Terms, if there is a security, legal or abuse risk, or if required by law. Where practical, we will give notice and an opportunity to resolve the issue.

You may stop using the Service and close your account at any time, subject to retention obligations described in the Privacy Policy and to any commitments in your plan.

15. Copyright and intellectual property complaints

If you believe content in Zektiva infringes your rights, submit a request through the in-app contact path or the privacy and legal request form, and include enough detail to identify the work, the material at issue and your relationship to the rights. Zektiva may remove material and may terminate repeat infringers.

16. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted or error-free operation.

17. Limitation of liability

To the maximum extent permitted by law, Zektiva will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost royalties, lost data, lost opportunities or business interruption, even if advised of the possibility.

To the maximum extent permitted by law, Zektiva's total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid Zektiva for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Nothing in these Terms limits liability that cannot lawfully be limited.

18. Indemnity

To the extent permitted by law, you agree to defend and indemnify Zektiva against third-party claims arising from your unlawful content or conduct, your infringement or misappropriation of someone else's rights, your misuse of the Service, or your breach of these Terms. This does not apply to the extent a claim results from Zektiva's own acts or omissions.

19. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. The state and federal courts located in Broward County, Florida will have jurisdiction and venue over disputes, unless applicable law requires otherwise.

20. Changes to these Terms

Zektiva may update these Terms. Each version has a version number and effective date. For material changes, Zektiva will provide notice and, where appropriate, will ask you to accept the updated Terms before you continue using protected areas of the Service.

21. General

If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without Zektiva's consent; Zektiva may assign them in connection with a merger, acquisition or transfer of assets. These Terms, together with the Privacy Policy and any plan terms shown in the app, are the entire agreement about the Service.
